EU Company Law/Європейське право компаній

This course aims at providing the students with an insight into the origins and evolution of the EU Company Law harmonisation. In this respect, the course is focusing on the general principles emanating from such harmonisation with particular attention paid to the functioning of European companies within the EU common market.

The discipline covers a wide range of practical issues regarding European companies’ formation, reorganisation and dissolution rules, cross-border conversions, primary and secondary establishment, capital formation and management, disclosure requirements, corporate governance (focusing on relationships between a company’s shareholders, board and management), right protection of shareholders and other parties, including creditors, managers and employees etc.
